Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Optimus IT Labs ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

2. Services Description

Optimus IT Labs provides IT consulting services including but not limited to:

  • Digital transformation consulting
  • Cloud platform engineering and migration
  • Data and AI engineering services
  • Cybersecurity consulting and implementation
  • DevSecOps and platform engineering
  • Enterprise application development and integration
  • Staff augmentation and managed services
  • Sustainability and green IT consulting

3. Service Agreements

Specific services will be governed by separate Service Agreements or Statements of Work (SOW) that will include project scope, deliverables, timelines, and pricing. These Terms of Service apply to all engagements unless specifically modified in writing.

4. Payment Terms

4.1 Invoicing

Invoices will be issued according to the payment schedule specified in the applicable Service Agreement. Standard payment terms are Net 30 days from invoice date unless otherwise specified.

4.2 Late Payments

Late payments may incur a service charge of 1.5% per month or the maximum allowed by law, whichever is less. We reserve the right to suspend services for accounts more than 60 days overdue.

5. Intellectual Property

5.1 Client Data and IP

All data, information, and intellectual property provided by the Client remains the exclusive property of the Client. We will treat all Client information as confidential.

5.2 Work Product

Custom work product created specifically for the Client will be owned by the Client upon full payment. Pre-existing methodologies, frameworks, and general knowledge remain our property.

6. Confidentiality

We maintain strict confidentiality of all Client information and will execute separate Non-Disclosure Agreements (NDAs) when required. Our employees and contractors are bound by confidentiality obligations.

7. Data Security and Privacy

We implement industry-standard security measures to protect Client data. Our data handling practices comply with applicable privacy laws including GDPR, CCPA, and other relevant regulations. See our Privacy Policy for detailed information.

8. Service Level Agreements

Specific SLAs will be defined in individual Service Agreements. We strive to maintain high availability and performance standards for all managed services.

9. Limitation of Liability

Our liability for any claim arising from our services will be limited to the amount paid for the specific services giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

10. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. Except as expressly stated, all services are provided "as is" without additional warranties.

11. Termination

11.1 Termination for Convenience

Either party may terminate a service engagement with 30 days written notice. Client will pay for all services performed through the termination date.

11.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

12. Force Majeure

Neither party will be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or other unforeseeable events.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes will first be addressed through good faith negotiations. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Modifications

We may update these Terms periodically. Significant changes will be communicated to active clients with 30 days notice. Continued use of services constitutes acceptance of updated Terms.
